FIRST, AN IMPORTANT MESSAGE: PLEASE READ THESE TERMS AND CONDITIONS OF USE (“Terms”, “Terms of Use”, or “Agreement”) CAREFULLY BEFORE USING THIS SITE, AS THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING, BUT NOT LIMITED TO, WAIVERS OF RIGHTS, LIMITATIONS OF LIABILITY, AND YOUR INDEMNITY TO US.THIS AGREEMENT REQUIRES ARBITRATION USE ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN COURTS OR JURY TRIALS AND LIMITS THE REMEDIES AVAILABLE IN THE EVENT OF A DISPUTE.
The Global Sports Terms of Use
These Terms of Use describe the terms and conditions that govern your use of The Global Sports, Inc.’s (“TGS“) current and future online and mobile websites, platforms, services, applications, and networks, including, without limitation, those for which TGS currently or in the future provides services and/or technology (the “Site” or “Sites”). When you use any of the sites, including without limitation when you view or access content or videos, you accept and agree to be bound by these terms of use.
(A) General Terms. These Terms of Use, along with any additional terms and conditions that are referenced herein or that are presented elsewhere on the Site in relation to a specific service or feature and the The Global Sports Privacy Policy, set forth the terms and conditions that apply to your use of the theglobalsports.co Site. By using the Site, you agree to abide by all of its terms and conditions. You should not access or use the Site if you do not agree to these Terms of Service.
(B) Changes to the Terms of Service. The Global Sports reserves the right to change or modify the Terms of Use, or any part of them, or to add or remove terms at any time, and such changes, additions, or deletions will be effective immediately upon posting. Your use of the Site following such posting shall be deemed acceptance of such modifications, additions, or deletions by you.
(C) Site modifications. TGS reserves the right to change or discontinue any aspect, service, or feature of the Site, including, but not limited to, content, hours of availability, and equipment required for access or use, at any time.
(D) Registration. You may be prompted to complete an online registration form in order to create a user account (“Your Account”) that will allow you to receive information from The Global Sports and/or participate in certain features on the Site, such as certain Interactive Areas. The information you provide will be used in accordance with the TGS Privacy Policy. By registering, you represent and warrant that all information provided on the registration form is, to the best of your knowledge, current, complete, and accurate. You agree to keep your registration information on the Site current, complete, and accurate by maintaining and promptly updating it. During the registration process, you may be required to choose a password and/or user name. You agree and acknowledge that “The Global Sports” may use your password or user name to identify you. You are responsible for maintaining the confidentiality of your user name(s) or password(s), if applicable. You are responsible for all use of Your Account, regardless of whether such access or use was authorized by you, and for ensuring that all use of Your Account complies fully with the provisions of these Terms of Use.
(E) Device. You are responsible for obtaining and maintaining all connectivity, computer software, hardware, and other equipment required for access to and use of the Site, as well as all charges incurred as a result of such access and use.
2. User Content and Conduct; Community Guidelines.
The following terms apply to reader content and user social behaviour on the Platform’s Interactive Areas, including Interview Club:
The following terms apply to user-submitted content and user actions on the Site’s Interactive Areas:
Areas that are interactive. The Site may include comment sections, discussion forums, or other interactive features, such as The Global Sports Media Network user-generated news community (“Interactive Areas”), where you can post or upload user-generated content, comments, video, photos, messages, or other materials or items (collectively, “User Content”). You are solely responsible for using any Interactive Areas, and you do so at your own risk. Individuals aged 13 and up have access to Interactive Areas. By submitting User Content to an Interactive Area, you represent that you are 13 years of age or older, and that if you are under the age of 18, you are either an emancipated minor or have obtained the legal consent of your parent or legal guardian to enter into these Terms of Use, submit content, participate on the Site, and fulfil the obligations outlined in these Terms of Use, which form a binding contract between you and The Global Sports Media. Employees of The Global Sports Network Media, Inc. may not submit User Content without permission from their supervisors.
(B) Community Policies. By submitting User Content or participating in an Interactive Area on or through the Site, you agree to follow the following rules of conduct:
• You agree to refrain from uploading, posting, or otherwise transmitting any User Content that:
• violates or infringes on the rights of others in any way, including statements that defame, harass, stalk, or threaten others.
• you are aware is false, misleading, or inaccurate.
• contains overt displays of bigotry, racism, racially or ethnically offensive content, hate speech, abuse, vulgarity, or profanity.
• contains or advocates pornography or sexually explicit content, paedophilia, incest, bestiality, or that is otherwise obscene or lewd.
• violates any law, advocates or instructs on dangerous, illegal, or predatory acts, or talks about illegal activities with the intent to commit them.
• supports violent behaviour.
• poses a legitimate risk to personal or public safety.
• contains graphic images of murder or physical abuse that appear to have been captured solely or primarily for exploitative, prurient, or gratuitous purposes.
• is protected by copyright, trademark, trade secret, publicity right, or other proprietary right, without the express permission of the owner of such copyright, trademark, trade secret, publicity right, or other proprietary right. You bear the burden of determining whether any User Content is protected by copyright, trademark, trade secret, right of publicity, or other proprietary right. You will be solely liable for any damage caused by any infringement of copyrights, trademarks, trade secrets, publicity rights, or other proprietary rights, as well as any other harm caused by such a submission. Anyone found to have violated the intellectual property or other rights of others by The Global Sports in its sole discretion will be barred from submitting or posting any further material on the Site.
• does not generally relate to any Interactive Area’s designated topic or theme.
• includes any unsolicited or unauthorised advertising or promotional materials for products or services, as well as “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
• You agree not to engage in any activity that could result in a criminal offence or civil liability.
• You agree that you have the consent of each and every identifiable natural person in any submission to use such person’s name or likeness in the manner contemplated by the Site, if necessary.
• You agree not to impersonate anyone or anything, including The Global Sports or any TGS employee, or to falsely state or otherwise misrepresent your affiliation with anyone or anything.
• You agree not to represent or imply TGS endorsement of User Content, either directly or indirectly.
• You agree not to infringe on the privacy of any other user, including by harvesting or collecting personally identifiable information about Site users or posting private information about a third party.
• You agree not to upload, post, or otherwise transmit any User Content, software, or other materials containing a virus or other potentially harmful or disruptive component.
• You agree not to interfere with or disrupt the Site or the servers or networks connected to the Site, or to violate any network requirements, procedures, policies, or regulations.
• You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site, use of the Site, or access to the Site for any commercial purpose.
• You agree not to use any service, technology or automated system to artificially inflate the page views that your User Content receives.
Pay-per-click services, web “robots,” and any other current or future technologies are included. You also agree that no third party may use these services, technologies, or automated systems on your behalf.
• You agree not to use any technology, service, or automated system to post more User Content than a single person can upload in a given amount of time. You also agree that no third party may use these services, technologies, or automated systems on your behalf.
Any behaviour that restricts or inhibits others from using or enjoying the Site will not be tolerated by The Global Sports Media. The Global Sports Media Network reserves the right, at its sole discretion, to remove or edit User Content submitted by you, as well as to terminate Your Account for any reason.
The Global Sports makes no guarantees about the accuracy or credibility of any User Content and accepts no responsibility or liability for any actions you take as a result of reading User Content on the Site. You may be exposed to content that you find offensive, objectionable, harmful, inaccurate, or deceptive as a result of your use of Interactive Areas. Dealing with underage people, people acting under false pretences, international trade issues, and foreign nationals may also pose risks. You accept all associated risks by using Interactive Areas.
(C) Observation. TGS reserves the right, but not the obligation, to monitor User Content posted or uploaded to the Site in order to ensure compliance with these Terms of Use and any operating rules established by The Global Sports, as well as to comply with any law, regulation, or authorized government request. Although The Global Sports Media is under no obligation to monitor, screen, edit, or remove any User Content posted or uploaded to the Site, TGS reserves the right, and has complete discretion, to screen, edit, refuse to post, or remove any User Content posted or uploaded to the Site at any time and for any reason, and you are solely responsible for creating backup copies of and replacing any User Content posted to the Site at your sole cost and expense. TGS may also share personally identifiable information in response to a law enforcement agency’s request, if we believe it is necessary, or if otherwise required or permitted by law. The decision by “TGS” to monitor and/or modify User Content does not constitute, and shall not be construed as, any responsibility or liability on the part of “TGS” in connection with or arising from your use of Interactive Areas on the Site.
Moral Rights (D). If it is determined that you retain moral rights (including rights of attribution or integrity) in the User Content, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the User Content, or any derivative works of or upgrades or updates thereto; and (b) you have no objection to The Global Sports or its licensees, successors and assigns publishing, using, modifying, deleting, and exploiting the User Content. You also grant another user permission to access, view, store, or reproduce User Content for that user’s personal use.
(E) There is no obligation. You agree that any User Content you submit will be considered non-confidential, and The Global Sports is under no obligation to treat such User Content as proprietary information except in accordance with the TGS Privacy Policy. Without limiting the foregoing, TGS reserves the right to use any User Content in any way it sees fit, including deleting, editing, modifying, rejecting, or refusing to post it. Once User Content is submitted to The Global Sports, TGS is under no obligation to edit, delete, or otherwise modify it. TGS is under no obligation to attribute authorship of User Content to you, and is not required to enforce any form of attribution by third parties.
- Copyright Defense.
The Site contains copyrighted material, trademarks, and other proprietary information, including but not limited to text, software, photos, video, graphics, music, and sound, and the entire Site is copyrighted as a collective work under US copyright laws. TGS owns the copyright in the selection, coordination, arrangement, and enhancement of such content, as well as the original content. You are not permitted to change, publish, transmit, participate in the transfer or sale of, create derivative works from, or otherwise exploit any of the content, in whole or in part. You may only download copyrighted material for personal use. No copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material will be permitted unless expressly permitted by copyright law. No changes or deletions of author attribution, trademark legend, or copyright notice shall be made in the event of any permitted copying, redistribution, or publication of copyrighted material. You acknowledge that downloading copyrighted material does not grant you ownership rights.
AGREEMENT ON ARBITRATION
(1) Claims Referred to Arbitration: TGS and you agree to arbitrate all disputes and claims between us to the fullest extent permitted by applicable law, except for claims arising from bodily injury or pertaining to enforcing, protecting, or the validity of your or our intellectual property rights (or the intellectual property rights of any of our licensors, affiliates and partners). This Arbitration Agreement is meant to be broadly construed. It consists of, but is not limited to:
• claims arising from or relating to any aspect of our relationship, whether in contract, tort, fraud, misrepresentation, or any other statutory or common-law legal theory;
• claims arising prior to this or any prior Agreement (including, but not limited to, advertising claims);
• claims for mental or emotional distress or injury unrelated to physical bodily harm;
• claims currently the subject of alleged class action litigation in which you are not a member of a certified class; and
• any claims that may arise following the termination of this Agreement.
In this Arbitration Agreement, references to “The Global Sports,” “you,” “we,” and “us” include our respective predecessors in interest, successors, and assigns, as well as our respective past, present, and future parents, subsidiaries, and affiliates (including Warner Bros. Discovery, Inc. and its affiliates); those entities and our respective agents, employees, licensees, licensors, and content providers as of the time your or our claim arises; and all authorized or unauthorized Regardless, either party may choose to have claims heard in small claims court seeking only individualized relief, as long as the action is not removed or appealed to a court of general jurisdiction. This Arbitration Agreement does not bar you from bringing issues to the attention of federal, state, or local government agencies. You agree that by entering into this Agreement, you and we are each waiving the right to participate in a class action and a jury trial to the fullest extent permitted by law. Because this Agreement documents an interstate transaction, the Federal Arbitration Act (9 U.S.C. 1-16) governs the interpretation and enforcement of this arbitration provision. This Arbitration Agreement will remain in effect even if this Agreement is terminated.
(4) Miscellaneous.
These Terms of Use, together with any operating rules for the Site established by TGS, constitute the parties’ entire agreement with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties on such subject matter. The provisions of these Terms of Service are intended for The Global Sports, its parent, subsidiaries, other affiliates, and third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf. You accept full responsibility for compliance with all local laws if you access the Site, including its Interactive Areas, from a location other than the United States. You are also subject to US export controls and are liable for any violations of US embargoes or other federal rules and regulations limiting exports. No waiver of any breach or default hereunder by either party shall be deemed a waiver of any preceding or subsequent breach or default. If any part of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, it will be replaced with language that reflects the original purpose in a valid and enforceable manner. The parties will continue to be bound by the enforceable sections of these Terms of Service. The section headings used herein are for convenience only and have no legal significance.
Neither TGS nor you will be liable for damages or delays or failures in performance caused by acts or occurrences beyond their reasonable control, including, without limitation, fire, lightning, explosion, power surge or failure, water, acts of God, war, terrorism, revolution, civil commotion, or acts of civil or military authorities or public enemies: any law, order, regulation, ordinance, or requirement of any government or legal body or any representative of such government or legal body: any law, order, regulation, ordinance,
(5) Copyrights and Copyright Agent.
TGS respects the rights of all copyright holders, and in this regard, The Global Sports has adopted and implemented a policy that allows for the termination of users and account holders who violate the rights of copyright holders in appropriate circumstances. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide The Global Sports Copyright Agent with the following information, as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:
- The physical or electronic signature of a person authorised to act on behalf of the owner of an allegedly infringed exclusive right;
- Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- Identification of the material claimed to be infringing or the subject of infringing activity and that is to be removed or access to which is to be disabled, as well as information reasonably sufficient to allow us to locate the material;
- Information reasonably sufficient to allow us to contact the complaining party;
- A statement that the complaining party believes, in good faith, that the use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and
- A statement under penalty of perjury that the information in the notification is accurate and that the complaining party is authorised to act on behalf of the owner of an exclusive right that is allegedly infringed.
